WELCOME TO THE THAW OUT MUSIC FESTIVAL (THE “EVENT”), OWNED AND OPERATED BY THAW OUT KNOXVILLE LLC (THE “COMPANY,” “WE,” “US,” “OUR”).

THIS PURCHASE POLICY AND TICKET TERMS & CONDITIONS (THE “POLICY”) GOVERNS YOUR PURCHASE AND USE OF ANY TICKET, WRISTBAND, OR PASS (COLLECTIVELY, “TICKET”).


BY PURCHASING, ACCEPTING, OR USING A TICKET, OR ENTERING THE EVENT, YOU AGREE TO BE LEGALLY BOUND BY THIS POLICY.


A TICKET IS A REVOCABLE LICENSE.



RIGHT TO MODIFY TERMS


The Company reserves the right to update or modify this Policy at any time. The most current version shall govern.


The Company may modify event details, layout, programming, amenities, alcohol service operations, security procedures, production elements, and operational policies at any time.



EVENT DETAILS


Event Name: Thaw Out Knoxville 2026

Date: May 1, 2026

Time: 2:00 PM – 10:00 PM

Location: World’s Fair Park, Knoxville, Tennessee


Age Policy: All Ages. Attendees under sixteen (16) must be accompanied by a parent or legal guardian.


If a Ticket is purchased for or used by a minor, the parent or legal guardian agrees to these Terms on behalf of the minor and agrees to indemnify and hold harmless the Company from claims arising from the minor’s attendance.



MINOR SUPERVISION


The Company does not provide supervision, custodial care, or monitoring of minors. Parents and legal guardians remain solely responsible for the supervision and conduct of minors at all times.



LINEUP & EVENT MODIFICATIONS


Artists, performers, schedules, amenities, security plans, and production elements are subject to change without notice.


No refunds will be issued for lineup changes, artist cancellations, shortened performances, or production modifications.



TRANSACTION TERMS


ALL SALES ARE FINAL. NO REFUNDS OR EXCHANGES EXCEPT AS EXPRESSLY PROVIDED BELOW.


If the Event is permanently cancelled and not rescheduled, the Company may, at its sole discretion, either (i) refund the face value of the Ticket (excluding service fees), or (ii) issue a credit toward a future event.


No refunds will be issued for postponement, rescheduling, lineup changes, artist cancellations, or production modifications.


If the Event is delayed, interrupted, modified, or terminated due to Force Majeure (including weather, governmental orders, or public safety concerns), no refund shall be required.


Ten (10) Ticket limit per customer.


Resale or commercial use may result in cancellation.


Fraudulent or duplicate tickets are void.


Initiating a chargeback may result in cancellation and denial of entry. The Company reserves the right to dispute improper chargebacks and recover associated fees.



REVOCABLE LICENSE


A Ticket is a revocable license. The Company may revoke this license without refund if the holder violates this Policy, engages in unsafe, unlawful, disruptive, intoxicated conduct, refuses security screening, or poses a safety risk as determined by Event management in its reasonable discretion.



NO RE-ENTRY


General Admission tickets do not permit re-entry once scanned.


VIP and Ultra VIP tickets may permit re-entry subject to security screening and operational discretion.


All re-entry privileges are subject to suspension at any time for safety, capacity, or operational reasons.


Re-entry may be denied if an attendee appears intoxicated, disruptive, or in violation of Event policies.



ENTRY POLICY / PERMITTED ITEMS


Permitted:

• Up to two (2) factory-sealed water bottles

• Small personal bags subject to search


Prohibited:

• Coolers

• Outside alcohol

• Glass containers

• Weapons

• Illegal substances

• Fireworks

• Drones

• Any item deemed unsafe or disruptive


All persons and property are subject to search, including bag inspection, pat-down screening, magnetometer screening, and visual inspection.


Refusal to submit to search shall result in denial of entry or removal without refund.



ALCOHOL POLICY


Alcohol is sold pursuant to a valid Tennessee beer permit and applicable municipal authorization.


• No outside alcohol permitted

• Alcohol may not leave the licensed perimeter

• Valid government-issued photo ID required

• 21+ wristband required

• Alcohol limited to permitted beer and malt beverages


The Company and its licensed vendors reserve the right to refuse alcohol service to any person.


Furnishing alcohol to a person under twenty-one (21) will result in removal and possible referral to law enforcement.


Attendees are responsible for their alcohol consumption and assume associated risks.



DRAM SHOP NOTICE (TENNESSEE)


Alcohol service is conducted in compliance with Tennessee Code Annotated §57-10-102.


The Company and its licensed vendors shall not be liable for injuries caused by an intoxicated person unless the statutory requirements for liability under Tennessee law are met.


The Company reserves the right to refuse service to any person who appears visibly intoxicated or fails to provide valid identification.



INTOXICATION REMOVAL POLICY


The Company reserves the right to deny entry, refuse service, or remove any individual who appears intoxicated, impaired, unsafe, or disruptive. Removal shall occur without refund.



CROWD CONTROL


High-density crowd conditions may occur near stages and performance areas.


Pushing, moshing, crowd surfing, and similar conduct are prohibited and may result in removal without refund.


Attendees assume the risk of crowd movement, compression, physical contact, and shifting ground conditions inherent in live music events.


Access to barricaded, restricted, production, backstage, or staff-only areas is strictly prohibited.



ULTRA VIP ROOFTOP / ELEVATED AREAS


Access to rooftop or elevated areas is first-come, first-served and subject to fire code capacity limits.


Elevated areas involve inherent risks including height exposure, weather conditions, lightning, wind, crowd density, spilled beverages, slips, trips, and falls.


The Company may restrict or close elevated areas at any time due to weather (including lightning), safety, or capacity concerns without refund.


Attendees voluntarily assume all associated risks.



EMERGENCY RESPONSE


The Company may implement evacuation, shelter-in-place, lockdown, or restricted movement procedures in response to safety threats, weather, or directives from authorities.


Attendees agree to comply immediately with all instructions from security personnel and law enforcement.


Failure to comply may result in removal without refund.



WEATHER POLICY


The Event is outdoors and may be delayed, interrupted, evacuated, or terminated due to weather conditions including lightning, high winds, or hazardous conditions.


Such actions shall not entitle Ticket holders to refunds.



EMERGENCY MEDICAL CONSENT


In the event of injury or medical emergency, you authorize the Company to secure emergency medical treatment on your behalf.


You are solely responsible for medical costs incurred and release the Company from liability arising from the provision of medical services except in cases of gross negligence or willful misconduct.



HIGH VOLUME SOUND WARNING


The Event will include amplified sound levels that may exceed safe hearing thresholds. Attendees assume all risks associated with exposure to loud music, including potential hearing damage.


PERSONAL PROPERTY


The Company is not responsible for lost, stolen, or damaged personal property.



TRANSPORTATION


Attendees are solely responsible for transportation to and from the Event and compliance with all applicable laws including those relating to driving under the influence.



THIRD-PARTY VENDORS


The Event may include third-party vendors. The Company is not responsible for the acts, omissions, products, or services of third-party vendors.



ASSUMPTION OF RISK


Attendance involves inherent risks including alcohol-related conduct, crowd density, loud music, temporary staging structures, uneven terrain, slippery surfaces, weather exposure, and security enforcement actions.


You voluntarily assume all such risks.


RELEASE AND WAIVER OF LIABILITY


To the fullest extent permitted by Tennessee law, you release Thaw Out Knoxville LLC and its officers, members, employees, contractors, affiliates, sponsors, artists, venue operators, and municipal authorities from claims arising from attendance, including ordinary negligence.


Nothing herein limits liability for gross negligence or willful misconduct where prohibited by law.



HEIGHTENED ALCOHOL INDEMNIFICATION


You agree to indemnify, defend, and hold harmless the Company from any and all claims, damages, injuries, property damage, losses, liabilities, fines, penalties, and expenses (including attorneys’ fees) arising out of your alcohol consumption, your furnishing of alcohol, injury or damage caused while under the influence, or third-party claims arising from your conduct.


This obligation survives the Event.



LIMITATION OF LIABILITY


Total liability shall not exceed the face value of the Ticket.


The Company shall not be liable for indirect, incidental, consequential, punitive, or special damages.



COMPARATIVE FAULT (TENNESSEE)


Tennessee applies modified comparative fault. Any recovery shall be reduced in proportion to your degree of fault.



FORCE MAJEURE


The Company is not liable for cancellation, delay, interruption, or modification due to causes beyond its control including weather, governmental orders, public safety concerns, labor disputes, artist cancellations, or venue restrictions.



TIME LIMITATION


Any claim must be filed within one (1) year after the Event date or shall be barred.



GOVERNING LAW; ARBITRATION; CLASS ACTION WAIVER


This Policy is governed by Tennessee law and the Federal Arbitration Act.


Any dispute, including personal injury claims, shall be resolved exclusively through binding arbitration in Knoxville, Tennessee in accordance with the American Arbitration Association Commercial Arbitration Rules then in effect.


The arbitrator shall have exclusive authority to determine the enforceability and scope of this arbitration provision.


This arbitration agreement survives the Event.


You waive the right to trial by jury and agree that claims must be brought individually and not as part of any class or representative action.


ADA ACCOMMODATIONS


The Company complies with applicable disability access laws. Individuals requiring accommodations should contact info@thawoutfest.com prior to the Event.



PUBLICITY RELEASE


By entering the Event, you grant the Company the irrevocable, perpetual, worldwide right to record and use your name, image, likeness, and voice for promotional purposes without compensation.



SEVERABILITY


If any provision is unenforceable, the remainder shall remain in effect.
